    Business owners typically have an advisory team that consists of a least an accountant, an attorney, and a financial advisor. Professional advice from these trusted individuals guides the actions and considerations of the owner. When a business owner contemplates selling a business, they will seek the opinions of these same advisors. The problem is, according to American Fortune Mergers and Acquisitions CEO, Brian Mazar, these professionals do not specialize in the purchase and sale of businesses so often the information they provide is incomplete or lacks pertinent industry or economic considerations. Due to this, Mazar today released his top nine tips that advisory team professionals can incorporate into the advice they give their clients.

    In a press conference earlier today, Mazar sited the following nine tips as key factors a business owner should consider and an advisor should incorporate into their decision to sell a business.

    1. Don’t wait until the business must be sold, for either economic or emotional reasons. Pressure to sell a business creates anxiety and can force a company into accepting a deal that’s not good for the seller–or for the buyer.

    2. Prepare to sell a business well in advance. Be sure records are complete for at least 5 years back and be current on all accounting and legal matters. Although often overlooked, be sure to spend time cleaning and organizing the plant/store/facility/office. Just as one would clean their house for visitors, clean the business environment for buyers, advises Mazar.

    3. Hire an experienced business intermediary or mergers and acquisitions advisor. It is crucial to involve a professional to sell a business. They understand the unique sales process and all of the caveats that may present themselves, stresses Mazar. Not only are they familiar with the process, but they help owners achieve leverage through buyer competitiona valuable skill for an advisor to have. David Gumpert, former Harvard Business Review associate editor said (pertaining to attorneys), Inexperienced lawyers are often reluctant to advise their clients to take any risks, whereas lawyers who have been through such negotiations a few times know what risks are reasonable. This example can be applied to a sellers experience too. Mazar cant stress enough the value in seeking out a professional to sell a business.

    4. Place a reasonable price on the business. Since an inflated figure either turns-off or slows down potential buyers, rely on the seasoned advisor to help everyone arrive at the best “win-win” price.

    5. Carry on “business as usual.” Don’t become so obsessed with the transaction that attention wavers from day-to-day demands which will affect sales, costs, and profits. Since the selling process could take as long as a year, the buyer needs to keep a healthy and steady business.

    6. Anticipate information the buyer may request. For example, in order to obtain financing, the buyer will need appraisals of all assets, a business valuation as well as information to satisfy environmental regulations (when real estate is concerned).

    7 . Keep time from dragging down the deal. To keep momentum up, work with the intermediary to be sure potential buyers stay on a time schedule and that offers to purchase move in a timely fashion.

    8. Negotiate, don’t “dominate.” Owners are used to being their own boss, but be prepared to learn that the buyer may be used to having his way, too. With the business advisors help, decide ahead of time when “to hold” and when “to fold.”

    9. Be flexible! Keep the balls rolling once an offer has been made. Study it closely. Just because the offers price may be lower than desired, the offer may have other points that will offset it such as higher payments or interest, a consulting agreement, more cash than was anticipated or a buyer that the business is comfortable with. If a counter-offer is necessary, do so only on those points that are of the highest importance. Be willing to negotiate for a win-win in order to sell a business. There is an old adage that the first offer you get is typically the best offer you will get–and it’s amazing how true that statement is, adds Mazar.

    im getting very conflicting answers on whether or not FHA flags pools. Im buyin a foreclosed home with a completely drained in ground pool. the enitre border tile has been chipped off. ive already heard that they require a circulating pump etc.and then i heard they have no checklist requirement from numerous “fha appraisers”. but im more curious to find other people out there in this situation. Did fha flag any of your foreclosed pools or require you fill it and circulate the pump. considering noone is there with them at the time i find it hard to believe they would test the pump….i dunno though.

    Swimming pools actually devaluate a property whether in good condition or not. If not it could be an EPA hazard. Mosquito breeding from rain water, and other reptiles in it. If you don’t intend to fix the pool, and fence it as per most city ordinances best thing to do is have it filled in.

    When it comes to finding a dental expert witness or a medical expert, you must be informed. What you don’t know can hurt your chances of winning your case. Health care providers, including physicians, dentists and allied health care professionals are at risk of a professional liability lawsuit every time they provide patient care. There are two sides to a lawsuit, the plaintiff and the defendant. The plaintiff is the individual who has initiated the suit. The defendant is the person or entity that is being sued by the plaintiff who is alleging malpractice.

    From a purely objective viewpoint, neither side should be viewed as good or bad, or right or wrong. The terms plaintiff and defendant simply identify which party brought the action and which party is being sued. Regarding health care and professional liability lawsuits, it is safe to assume that the patient is the plaintiff and the health care provider is the defendant.

    The role played by the expert is to review the dental or medical records pertinent to the suit. Following review, the expert will opine as to whether or not the claim has any merit, and whether or not in their judgment there was any malpractice committed. Each side has their own expert or experts. The plaintiff’s expert is engaged by their attorney, and the defendant’s expert is engaged by their attorney.

    In the case of the defendant, the party who will bear the cost of the expert will ultimately be the defendant’s professional liability insurance provider. Initially the plaintiff’s attorney will bear the cost of the expert. If the plaintiff prevails in the suit, the cost of the plaintiff’s expert will be deducted from whatever monetary award the plaintiff receives from the defendant.

    When a professional liability matter goes before a trier of fact, either a jury trial or arbitration, the expert witness is one of the most important factors. On the plaintiff’s side, the expert must provide a strong opinion that malpractice occurred. On the defendant’s side, the expert is needed to provide a strong defense that malpractice did not occur. It is often the testimony of the expert witness that becomes the deciding factor in a suit as to which party prevails.

    Finding the expert witness that will help you win your case is more complicated than simply looking up dentists or physicians online or in the yellow pages. The dental expert witness or the medical expert witness must come with appropriate referrals and possess an impressive curriculum vitae. Often, an expert witness will work exclusively for the plaintiff side or for the defendant side. Very few experts work both sides of the fence.

    The cost of expert witnesses is significant. Experts are in demand, and they charge a high hourly fee. Whether you are defending a case or attempting to prove the alleged malpractice, the cost of the expert witness is not where you want to look for a bargain. Defense and Plaintiff attorneys are both quite savvy when it comes to choosing an expert. In the realm of malpractice, defendants and plaintiffs should defer to their attorney’s recommendations in this area. Most plaintiff attorneys will not agree to take on a case unless it has been reviewed by an expert who supports their client’s viewpoint.

    There are many Web sites that provide information if you are looking for a dental expert witness. Some examples are the Round Table Group, Juris Pro Expert Witness Directory and Saponaro. If you are not an attorney, you can certainly contact these sites for expert resources and referrals. Whether you are a physician, dentist or patient, remember your attorney is probably the person to be the decision maker when it comes to choosing a dental or medical expert..

    We have had Farm Bureau home Ins. for 4 years, they have been nagging us to have some type of “inspector/appraiser” to come over that they supposedly send out periodically.

    I’ve never seen an ins. company do this before. We put it off for a few months (we have had a family emergency) however they called a few days ago and INSISTED like it or lump it they’re coming into our home by this weekend (kinda feels like an invasion of privacy here).

    They plan on taking pictures…uh, why does this ins. company need pictures of my home?

    I am in the process of trying to find another ins. group but in the meantime I am stuck with these people coming to my home, they have never explained what all this crap is for so perhaps someone here could tell me?

    Insurance companies do this all the time. And they are doing it more and more with the declining state of pre-foreclosure property. They are the one’s who have to determine what they are insuring, and if you are maintaining the property to the value of the insurance.

    Be sure to get ID when they arrive, and by appointment only. IF you don’t comply they could cancel, raise your rates, or refuse to pay as much as you think you’ve sustained in a loss.
